With fourteen years of experience, and a very extensive expertise in business and financial services consulting, we are one of the pioneers of the Romanian financial market. We participated at the establishment of the Bucharest Stock Exchange, of the private pension system and of the mortgage securities legal framework.
Between November 2001 and July 2007 we had an excellent partnership with Emerging Markets Group (former Deloitte & Touche Emerging Markets) and Deloitte Romania in developing Financial Market Reform, a USAID (United States Agency for International Development) sponsored project. The project helped RASDAQ market to become more attractive, assisted the government to bring more companies on the capital market, and helped the creation of the legal framework of the mortgage securities and of the private pension system.
To date, we provided advice to Bucharest Stock Exchange and RASDAQ market, the securities and pension commissions, various government institutions, as well as to several large companies, such as Transelectrica, Flamingo International, Transgaz, Romgaz, Electrica Muntenia Nord, Electrica Transilvania Nord, Electrica S.A.
We participated at the drafting process of over ten capital markets regulations and over twelve private pension system regulations. We also provided comments on three capital markets draft laws, three mortgage markets draft laws, and one pension funds draft law.
We had a significant contribution in designing the roadmaps for the development of the Romanian capital markets, secondary mortgage market, and of the private pension funds system.
We advised Transelectrica, the national grid company, and Flamingo International, one of the leaders of the IT& C market, to prepare the largest and most successful IPOs on the Romanian market. The Transelectrica offering was oversubscribed by almost six times, amounting Euro 35 mil., while Flamingoaˆ™s had a subscription ratio of three times, raising Euro 13 mil.
We worked for the preparation of two public offering toolkits (shares and bonds), for companies interested in listing on the stock exchange, which currently are used by the Bucharest Stock Exchange in aˆ?townhallaˆ? meetings all over the country. We also prepared a non-bank financing toolkit, which helps the SMEs to use IPO, or private equity to finance their businesses.
In the last six years we presented the capital markets financing alternatives to over ninety SME and large companies.

Cu paisprezece ani de experienta si o vasta expertiza in activitatea de consultanta a afacerilor si serviciilor financiare, suntem unii dintre pionierii pietei financiare din Romania, care au participat la infiintarea Bursei de Valori Bucuresti, a sistemului de pensii private si a cadrului legal al valorilor mobiliare ipotecare.
In perioada noiembrie 2001 aˆ“ iulie 2007, am avut un parteneriat excelent cu Emerging Markets Group (fost Deloitte & Touche Emerging Markets) si cu Deloitte Romania in dezvoltarea Financial Market Reform, un proiect sponsorizat de catre Agentia Americana de Dezvoltare Internationala (USAID). Acest proiect a ajutat piata RASDAQ sa devina mai atractiva, a asistat guvernul in aducerea mai multor companii pe piata de capital, a participat la crearea cadrului legal al valorilor mobiliare ipotecare, precum si a sistemului de pensii private.
Pana in prezent, am furnizat consultanta ambelor piete bursiere, Bursa de Valori Bucuresti si RASDAQ, cat si Comisiei Nationale a Valorilor Mobiliare, Comisiei de Supraveghere a Sistemului de Pensii Private, diverselor institutii guvernamentale, precum si unor societati comeciale, cum ar fi Transelectrica, Flamingo International, Transgaz, Romgaz, Electrica Muntenia Nord, Electrica Transilvania Nord, Electrica S.A..
Pana in prezent, am participat la elaborarea a peste zece regulamente din domeniul pietei de capital, respectiv doisprezece din cel al pensiilor private. Deasemenea, am furnizat comentarii si sugestii la trei proiecte de legi ale pietei de capital, trei proiecte de legi ale creditului ipotecar, precum si la un proiect de lege al fondurilor de pensii private.
De-a lungul timpului, am avut o contributie semnificativa in conceperea aˆ?foilor de parcursaˆ? ale pietei de capital, ale pietei secundare ipotecare, precum si ale sistemului de pensii private.
Am furnizat consultanta catre Transelectrica si Flamingo International in pregatirea celor mai mari si mai de succes oferte publice de pe piata romaneasca. Oferta Transelectrica a fost suprasubscrisa de aproape sase ori, atingand o valoare de 35 mil. euro, in timp ce oferta Flamingo International a avut o rata de suprasubscriere de peste 3 ori si o valoare de 13 mil. Euro.
Am lucrat la elaborarea a doua ghiduri de oferta publica (actiuni si obligatiuni) pentru firmele interesate a se lista la bursa. Aceste ghiduri sunt in prezent utilizate de catre Bursa de Valori Bucuresti intr-un proces de promovare a pietei de capital. De asemenea, am pregatit si ghidul de finantare non-bancara, care ajuta IMM-urile sa isi finanteze afacerile prin oferta publica sau cu fonduri cu capital privat (private equity).
In ultimii sase ani, am prezentat alternativa de finantare non-bancara prin intermediul pietei de capital catre mai mult de nouazeci de companii.
